BY-LAWS
of the
Cactus Hugger Cycling Club

June 2005

Article I: Name

The name of this organization shall be the Cactus Huggers Cycling Club.

Article II: Purpose

The purpose of this organization is stated in the Articles of Incorporation dated March 17, 2003. In summary the objectives shall be to promote the general interest of cycling in all its phases; to encourage and facilitate touring, cycling outings and all forms of cycling activities; to defend and protect the rights of cyclists; to secure a better understanding and recognition of the need for safer riding conditions; to encourage the allocation of facilities for cycling on public land; to cooperate with public authorities in the observance of all traffic regulations; and to advocate the recognition of the bicycle as a vehicle for pleasure, health and economical transportation.

Article III: Membership

Membership is open to anyone 16 years of age and older who is willing to support the purposes of the club and pay annual dues. Each member in good standing is entitled to one vote in the election of club officers, acceptance and/or amendment to the bylaws, and on issues for decision put before the membership.

Article IV: Dues

Dues for a single membership will be set by the Executive Board and are payable to the Treasurer. An additional membership with full rights and voting privileges for each individual living in the same household of full-paying member will be one-half of the single member dues. Dues are set on a calendar year basis.

Article V: Officers

The following officers will be elected and constitute the Board of Directors for the club: President, Vice President, Secretary, Treasurer, Road Captain, Newsletter Editor, and three members at large. The Executive Board shall consist of the president, vice president, secretary, treasurer, and road captain. The duties of the officers shall include, but not be limited to:

1. President

(a) Preside at all meetings.

(b) Solicit and appoint members to special committees.

(c) Promote the purposes of the club.

(d) Exercise general supervision of the club, subject to the direction of the Board of Directors.

(e) Prepare an annual budget subject to the approval of the board.

2. Vice President

(a) Assist the president

(b) Assume the duties of the president in the president’s absence.

(c) Serve as program chair for club meetings.

3. Secretary/Membership Data Base Manager

(a) Conduct official correspondence for the club.

(b) Keep official minutes of board meetings and membership meetings.

(c) Keep an up to day computerized database of the club membership.

4. Treasurer

(a) Receive or collect all dues, fees, or any other monies constituting the revenues of the club, which shall be deposited in such a manner as is designated by the board. The accounts and books shall at all times be open to the inspection of the Executive Board and any auditor authorized by the board.

(b) Disperse all funds in the manner authorized by the board and pay all bills as approved by the board.

(c) All checks shall be signed by the president or the treasurer.

5. Road Captain

(a) Organize the monthly ride schedules.

(b) Solicit ride leaders.

(c) Assume the duties of the president in the absence of the president and the vice president.

6. Newsletter Editor

(a) Edit and publish and distribute to club members, a club newsletter at least quarterly.

(b) The newsletter shall include but not be limited to the clubs future cycling events and meetings.

7. Members-at-large

(a) Serve as voting members of the Board of Directors.

(b) Serve as committee leaders for club activities.

Article VI: Meetings

1. At least one meeting of the general membership of the club will be held annually. At the annual meeting the treasurer will present an annual financial statement. The president will report on the previous year’s activities and upcoming club activities.

2. The Board of Directors shall meet at least quarterly. The president may call more frequent meetings if deemed necessary. Financial statement shall be presented at each meeting.

Article VII: Elections

1. Elections and installation of officers for the forth-coming year shall be held annually.

2. Ballots shall be distributed for voting. They may be returned by mail to the club’s official postal address.

Article VIII: Amendment

These bylaws may be amended at any regular or special meeting of the club by a two-thirds vote of the assembled quorum. A quorum shall consist of members present at any official meeting.
